Contingency Placement Terms

These Contingency Placement Terms ("Terms") are entered into between SCMJobs Technology Private Limited ("SCMJobs", "we", "us") and the employer entity whose authorised representative clicks "Agree & Unlock Profile" on the SCMJobs platform ("Employer", "you").

By clicking Agree & Unlock Profile you confirm that you have read, understood, and agree to be bound by these Terms on behalf of your organisation. No signature or separate document is required — this click-wrap constitutes a legally binding agreement under the Information Technology Act, 2000 and the Indian Contract Act, 1872.

1. What You Are Agreeing To

SCMJobs grants you access to the full contact details (name, email address, phone number, and location) of the candidate profile you have selected ("Candidate"). In return, you agree to pay a success fee to SCMJobs if and when a Placement Event occurs (defined in clause 2) within the Engagement Window (defined in clause 3).

2. Success Fee

A "Placement Event" means any of the following occurring within the Engagement Window, regardless of how the Candidate was engaged after their profile was unlocked:

• The Candidate accepts an offer of full-time or part-time employment with the Employer or any subsidiary, group company, or affiliate of the Employer.
• The Candidate accepts a fixed-term contract of 3 months or more with the Employer or any of its affiliates.
• The Candidate is engaged as a contractor or consultant whose fees are primarily paid by the Employer, where such engagement arises directly or indirectly from the introduction made via SCMJobs.

3. Engagement Window

The Engagement Window is 180 calendar daysfrom the date and time at which you clicked "Agree & Unlock Profile" for this Candidate (the "Unlock Date"). If a Placement Event occurs after the Engagement Window has expired, no success fee is owed.

4. Notification Obligation

You agree to notify SCMJobs in writing (including via the "Mark as Hired" button in your employer dashboard or by emailing billing@scmjobs.co.in) within 14 calendar days of a Placement Event occurring. Failure to notify does not extinguish the obligation to pay; it may result in the fee becoming immediately due upon SCMJobs becoming aware of the placement through any means, including disclosure by the Candidate.

5. Payment Terms

SCMJobs will issue a tax invoice within 7 business days of being notified of a Placement Event. Payment is due within 30 days of the invoice date. Overdue amounts accrue interest at 18% per annum (1.5% per month) from the due date until payment is received in full.

All payments are to be made in Indian Rupees via bank transfer, UPI, or such other method as SCMJobs specifies on the invoice.

6. Exclusivity & Non-Circumvention

You agree not to contact the Candidate or engage them in any employment or contract arrangement by routing the introduction through a third party (agency, referral, or otherwise) in order to avoid the success fee. Any such circumvention shall be treated as a Placement Event and the full success fee shall be immediately due.

7. Candidate Data & Confidentiality

The contact information unlocked is provided solely for the purpose of evaluating and potentially engaging the Candidate for a specific role. You agree to:

• Handle Candidate personal data in compliance with applicable data protection laws, including the Digital Personal Data Protection Act, 2023.
• Not share or sell the Candidate's contact details to third parties.
• Delete the Candidate's personal data upon request from the Candidate or SCMJobs, subject to any statutory retention obligations.

8. Limitation of Liability

SCMJobs makes no warranty that any Candidate is suitable for any particular role. Our liability under these Terms is limited to the refund of any success fee paid by you in relation to the specific Candidate in question. We are not liable for indirect, consequential, or incidental losses of any kind.

9. Governing Law & Disputes

These Terms are governed by the laws of India. Any dispute shall first be submitted to mediation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.

10. Amendments

SCMJobs may update these Terms at any time. The version in effect at the time you click "Agree & Unlock Profile" is the binding version for that specific unlock. Material changes will be communicated via the email address associated with your account at least 14 days before taking effect.
